COLDSTREAM SOFTWARE CONSULTING SERVICES AGREEMENT

 

In this Agreement, the party who is contracting to receive services shall

be referred to as the “Customer”, and the party who will be providing the

services shall be referred to as “ColdStream Software”.

This Agreement is made effective as of the date and time that ColdStream

Software receives a copy of this agreement, signed by a legally authorized

representative of the customer.

ColdStream Software will not guarantee the training dates or make any

provisions for travel or lodging prior to receipt of the signed copy of this

agreement.

The total fee will be payable in a lump sum upon completion of the Services.

Partial training days will be billed at a full day rate.  A late payment fee

will be added for payments received later than 15 days from date of invoice.

Receipt of a signed agreement from the customer constitutes a legal binding

contract for the consulting services described in this agreement.  Upon receipt

of the signed agreement, ColdStream Software will begin making preparations

for the execution of this agreement.  Travel arrangements will be made

including the purchase of airline tickets, hotel reservations, etc.  Should it

become necessary for the customer to cancel the contract prior to the beginning

day of the services provided by this agreement, it is imperative that notification

be made to ColdStream Software immediately.

By signing this agreement, the customer agrees to pay ColdStream Software for

services rendered based on the following rate schedule:

 

PAYMENT FOR SERVICES RENDERED

 

Software Training                                  $_________ per day plus expenses

Cad Implementation/Strategic Planning    $_________ per day plus expenses

Cad Customization                                $_________ per day plus expenses

 

CANCELLATION OF CONTRACT BY THE CUSTOMER PRIOR TO BEGINNING SERVICES

 

By signing this agreement, the customer agrees to pay ColdStream Software for

losses incurred as a result of a cancellation of the contract by the customer

prior to the beginning of services.  Cancellation of the contract less than

two weeks prior to the beginning day of the contract for services will result

in the customer being liable for any non-reimbursable costs incurred by ColdStream

Software including airline tickets, reservation fees, and supplies.  Cancellation

of the contract less than one week prior to the beginning day of the contract for

services will result in the customer being liable for one-half of the full training

and consulting fee plus any non-reimbursable costs incurred by ColdStream Software

including airline tickets, reservation fees, and supplies.

 

EXPENSE REIMBURSEMENT

 

ColdStream Software shall be entitled to reimbursement from the Customer for

Expenses required to perform the services agreed to in this contract:

Airline Airfare - based on coach class, special rates if available.

Driving (if personal car used) - travel Reimbursement @ 37 cents / mile

Lodging - Based on non-smoking, king size, data outlet in room.

Car Rental - Medium or full size, non-smoking when available.

Tolls, Taxi, Parking required to get to and from work - Total receipts

Per Diem - not to exceed $50/day  (including travel days as applicable)

Meals provided by the Customer or reseller will not be included in the invoice.

Per-diem is based on $10 for breakfast, $10 for lunch, and $30 for dinner.

SPECIAL INSTRUCTIONS

 

The customer will be responsible for providing an XGA compatible projector

with a minimum of 1024x768 resolution (800 x 600 WILL NOT BE ACCEPTABLE)

and screen or other acceptable projection surface.

ColdStream Software will provide an instructor computer (laptop) with XGA

port. Please attach documentation, maps, etc. indicating the location of the

training site and include instructions on how to get to the site from local

hotels and the airport (if I am flying into your area).  Send a map or written

instructions that are clear and concise.   Please include any special

instructions on how to get into your building.  Will I be required to have a

pass or other ID, a badge? What are your office hours?  When do you expect me

to begin training each day? Where do I park?
